Corporate law and extraordinary transactions (M&A)

Thanks to our collaboration with a support network of experts in other professional fields, we deal with all of the formalities necessary for the establishment of a company in Italy or abroad and we collaborate in the preparation of incorporation deeds, bylaws and shareholders’ agreements. We follow extraordinary transactions such as acquisitions, mergers and joint ventures establishments.

Starting from the assessment phase and preliminary negotiation, we support entrepreneurs, in Italy and abroad, in implementing extraordinary transactions. In particular, we follow the company acquisition procedures, in the event of a sale or purchase, joint ventures, sale of shareholdings, sale or lease of business branches, thereby guaranteeing the most complete support in the due diligence and identification of any potential economic-legal problems from the contractual, non-contractual and judicial points of view.

We also elaborate opinions and protect our clients against any possible judicial proceedings that concern, among other things, actions of liability against the company’s administrators, actions for the protection of minority shareholders or actions for the appeal of the balance sheet.

Furthermore, we support our clients’ companies in the management of necessary bureaucratic obligations, through the preparation of models of corporate compliance required by Legislative Decree n. 231/2001 regarding organization and management and EU Regulation no. 2016/679 on the protection of personal data (GDPR).
